Scope and subject of these terms
This document sets out the terms for accessing and using the main dorsa.cloud website, its associated websites including dorsacloud.com, the user panel and Dorsa Cloud services. In this document, these websites, the panel and related services are collectively called the “Dorsa Cloud platform”.
These terms form a legal agreement between you, as a visitor or registered user, and System Khebreh Dorsa, the provider of Dorsa Cloud services. By accessing the platform or using its services, you confirm that you have read and understood these terms and agree to comply with them.
1. Acceptance and changes to these terms
1.1. In addition to this document, use of the Dorsa Cloud platform and services may be subject to product-specific terms, a membership agreement, an order or service contract, and other rules published on the platform.
1.2. If you disagree with any part of these terms, you must not use the services. Dorsa Cloud may update these terms by publishing a revised version. Unless the change notice states otherwise, material changes take effect 15 days after publication. Changes needed to provide a new service or feature, or to comply with law, may take effect immediately or on the stated date. Continuing to use the services after changes take effect constitutes acceptance of the new version.
1.3. A separate agreement may be concluded online or offline for a particular service. In the event of a conflict, the service-specific agreement prevails over these terms only for that service.
1.4. Users may not transfer their rights or obligations under these terms to another person or entity without Dorsa Cloud’s written consent.
2. Provision of and access to services
2.1. The service provider, as specified in the relevant membership agreement or contract, is System Khebreh Dorsa.
2.2. Some platform products and features require account creation, provision of necessary information, and completion of identity verification or access approval.
2.3. If a user violates these terms, the service contract or applicable law, Dorsa Cloud may restrict, suspend or terminate access to all or part of the platform and services, proportionate to the nature and severity of the violation.
2.4. A service’s availability, features or capacity may vary by location, technical limitations, legal requirements or contractual terms. Describing a feature on the website does not by itself guarantee that it is available in every region or to all users on the same terms.
3. Acceptable use of the platform
3.1. Users must use the platform and services in accordance with applicable laws and regulations and refrain from fraud, deception, misuse or unauthorized use.
3.2. Copying, reproducing, republishing, selling, distributing or systematically retrieving platform content to create a collection, database or directory without Dorsa Cloud’s written permission is prohibited. This includes the use of bots, crawlers, automated tools or manual processes. Publishing unlawful or defamatory content, content violating privacy, or content infringing Dorsa Cloud’s or another party’s intellectual property rights is also prohibited.
3.3. Users must not compromise the integrity of computers, networks, software or equipment associated with the services; monitor data or traffic without authorization; scan or test vulnerabilities; bypass security or authentication controls; or forge the origin of network packets, email or messages.
3.4. Unauthorized monitoring or crawling, DoS or DDoS attacks, flooding, email bombing and any other action disrupting a network or service are prohibited. Operating insecure services such as open proxies, open email relays or open DNS resolvers may also be considered network abuse.
3.5. Distributing or facilitating unsolicited commercial messages and any spam activity contrary to applicable laws and regulations is prohibited.
3.6. By providing information to Dorsa Cloud, you confirm that you have the necessary legal authority to do so and that its use under these terms will not expose Dorsa Cloud to claims or liability arising from infringement of others’ rights.
3.7. Data and information provided to Dorsa Cloud for processing, storage, hosting or service delivery may be processed in the infrastructure of Dorsa Cloud, affiliates or service contractors. Payment instrument information may be processed directly by payment service providers. Disclosure outside this group occurs only at your request or with your consent, under the relevant contract, or as legally required.
3.8. Content you provide in discussion areas, forums or answers to questions must also comply with these terms.
3.9. Dorsa Cloud may change the domain or address used to access the platform and services. Users are responsible for making the technical changes needed in their own systems to continue connecting to the announced addresses.
4. Handling violations
Dorsa Cloud may reject, restrict, modify or remove content that is unlawful, violates these terms or creates liability. Depending on the violation, enforcement actions may include warnings, content removal, claims for damages, suspension or termination of an account or subscription, and restrictions on other services.
5. Events beyond control (force majeure)
Unless service-specific terms provide otherwise, Dorsa Cloud is not responsible for delays or disruption caused by factors beyond its reasonable control. These may include widespread internet or telecommunications disruption, cyberattacks, equipment or power failures, strikes, civil unrest, fire, flooding, storms, explosions, war, decisions or orders by governmental or judicial authorities, or third-party failures.
6. Reporting intellectual property infringement
6.1. If you believe your work has been used on the platform without authorization, you may send Dorsa Cloud a complete description of your claim and your contact information. Telephone: 021-82804810. Address: Unit 13, No. 22, Mina Boulevard, Nelson Mandela Street, north of Mirdamad, Tehran.
6.2. Dorsa Cloud reviews notices in Persian that provide sufficient information to identify the work, disputed content and rights holder, and comply with applicable law and these terms.
6.3. After receiving a notice, Dorsa Cloud reviews it according to the nature of the claim and may take appropriate action. Before taking legal action concerning disputed content, Dorsa Cloud must receive notice and a reasonable opportunity to investigate and act.
7. Intellectual property rights
7.1. Dorsa Cloud owns or is legally licensed to use the rights and interests in the platform and its content. As applicable, these rights belong to Dorsa Cloud, affiliates or content licensors. The names, marks and logos “DORSA CLOUD” and “DORSA PAY” are trademarks or service marks of the Dorsa group and may not be used, modified or published without permission.
7.2. Intellectual property includes rights relating to works, software, databases, inventions, trademarks and trade names, domain names, designs, know-how and other registered or unregistered rights, as well as the right to pursue infringement of those rights.
8. General provisions
8.1. These terms and relevant service-specific agreements constitute the entire agreement between the user and Dorsa Cloud concerning use of the services and replace prior agreements on the same subject.
8.2. The user and Dorsa Cloud are independent parties. These terms do not by themselves create an agency, partnership, joint venture, employment or franchise relationship.
8.3. If a competent authority finds any provision invalid or unenforceable, the remaining provisions remain valid.
8.4. Failure or delay in exercising a right does not waive that right or the right to act against subsequent violations.
8.5. Users may not assign, license or subcontract their rights or obligations without Dorsa Cloud’s prior written consent.
8.6. No party other than Dorsa Cloud, its affiliates and parties expressly identified in a service-specific agreement has the right to enforce these terms.
9. Governing law and dispute resolution
These terms and the relationship between Dorsa Cloud and its users are governed by the laws of the Islamic Republic of Iran. Disputes fall within the jurisdiction of competent Iranian authorities, unless the service-specific contract expressly provides another mechanism.
